These terms govern the provision of IT solutions and professional services by Red Stone Digital Solutions (SMC-PRIVATE) LIMITED.
Contractual Acceptance
By signing a proposal or paying an invoice, the client agrees to be bound by these Terms and Conditions in full.
License and Ownership
All custom code and designs remain the property of Red Stone Digital until final payment is received, at which point ownership transfers to the client.
Standard Payment Terms
Projects require a 50% upfront deposit. The final 50% must be cleared before the handover of source code or admin credentials.
Prohibited Activities
Clients may not reverse-engineer, redistribute, or resell proprietary software developed by us without an explicit Reseller Agreement.
Limitation of Liability
We are not liable for business interruptions, data loss, or profit loss resulting from third-party server failures or user-end security lapses.
Client Cooperation
The client must provide timely feedback and data access. Delays in client response will result in a commensurate extension of the project timeline.
Data Backups
While we assist with server management, the ultimate responsibility for maintaining regular off-site data backups rests with the client.
Confidentiality
Both parties agree to keep all sensitive business information, pricing, and technical logic strictly confidential during and after the contract.
Bug-Fix Warranty
We provide a 90-day warranty on all custom software to address any functional bugs discovered after the live deployment.
Termination Clause
Either party may terminate a project with 14 days’ written notice. The client will be billed for all work hours completed up to the date of termination.
Governing Law
These terms are governed by the laws of Pakistan. Any disputes shall be settled in the competent courts of Lahore.
